These Terms & Conditions (“Terms”) govern access to and use of services provided by Adzura Media (OPC) Private Limited, operating under the brand name Aivry (“Aivry”, “Company”, “we”, “us”, or “our”).

By accessing or using Aivry’s website, software, products, artificial intelligence systems, voice systems, messaging tools, recruitment intelligence tools, healthcare communication systems, hospitality systems, automations, integrations, APIs or related services, you agree to these Terms.

If you do not agree to these Terms, do not use the services.

2. Business Use

Aivry primarily provides artificial intelligence products and related technology services to businesses and organizations.

Where you use Aivry on behalf of an organization, you confirm that:

  • You have authority to represent or bind that organization.
  • Your use of the services is lawful.
  • Information supplied to Aivry is accurate to the best of your knowledge.
  • You have the necessary rights, permissions and consents for information submitted to or processed through Aivry.

Certain Aivry-powered systems may interact directly with consumers, patients, candidates, guests or other end users on behalf of our customers.

3. Scope of Services

Aivry develops and provides artificial intelligence products and services including, but not limited to:

AI-powered voice, chat and communication systems that may provide:

  • Website chatbots
  • AI voice agents
  • WhatsApp interactions
  • Lead engagement
  • Lead qualification
  • Appointment booking
  • Customer support
  • Knowledge-based responses
  • Follow-ups
  • Communication automation
  • CRM and workflow integrations

Halo

AI-assisted recruitment intelligence systems that may provide:

  • Resume parsing
  • Candidate analysis
  • Candidate organization
  • AI-assisted screening
  • Candidate scoring
  • Skills matching
  • Interview assistance
  • Recruitment communication
  • Recruitment workflow automation

Milo

AI-powered patient experience and healthcare communication systems that may provide:

  • Appointment booking
  • Appointment confirmations
  • Calendar coordination
  • Patient reminders
  • Follow-up communication
  • Pre-appointment instructions
  • Patient communication
  • WhatsApp-based interaction
  • CRM updates
  • Patient workflow coordination
  • Administrative healthcare automation

Atithi

AI-powered hospitality and guest experience systems that may provide:

  • Guest communication
  • AI concierge services
  • Reservation-related assistance
  • Guest service requests
  • Housekeeping requests
  • Food and beverage requests
  • Maintenance requests
  • Internal service routing
  • Request tracking
  • Guest follow-ups
  • Hospitality workflow automation

Custom Aivry Solutions

Aivry may also provide:

  • Custom AI agents
  • AI implementation services
  • Workflow automation
  • Conversational interfaces
  • Business process automation
  • API integrations
  • CRM integrations
  • ERP integrations
  • ATS integrations
  • PMS or HMS integrations
  • Custom enterprise software
  • AI-powered websites and digital experiences
  • Other AI and automation services agreed with customers

Specific functionality, pricing, service levels and deliverables may vary depending on the customer’s subscription, proposal, Statement of Work, Order Form or other written agreement.

4. Account Responsibility

Where access credentials are issued, you are responsible for:

  • Maintaining credential confidentiality
  • Restricting unauthorized access
  • Safeguarding passwords and authentication credentials
  • Maintaining appropriate internal access controls
  • Promptly notifying Aivry of suspected compromise

You remain responsible for activities occurring through your account unless caused directly by a security failure attributable to Aivry.

5. Acceptable Use

You must not use Aivry services for unlawful, abusive, deceptive or harmful activities.

Prohibited activities include:

Illegal Conduct

Including:

  • Fraud
  • Scams
  • Phishing
  • Impersonation
  • Unlawful surveillance
  • Cyber abuse
  • Illegal data collection

Harmful Communications

Including:

  • Spam
  • Harassment
  • Threatening communication
  • Deceptive outreach
  • Unauthorized bulk messaging
  • Misleading automated communication

Discriminatory Conduct

Including:

  • Unlawful hiring discrimination
  • Prohibited profiling
  • Automated discrimination
  • Unlawful exclusion based on protected characteristics

Technical Abuse

Including:

  • Unauthorized access attempts
  • Reverse engineering except where expressly permitted by applicable law
  • Circumvention of security controls
  • Scraping protected systems
  • Infrastructure disruption
  • Credential attacks
  • Extraction of proprietary system prompts, models or confidential system information

Content Abuse

Including:

  • Uploading unlawful content
  • Intellectual-property infringement
  • Uploading information you do not have authority to process
  • Malicious files or payloads
  • Knowingly supplying false or deceptive information for harmful purposes

Messaging and Telecom Abuse

Including:

  • Unlawful voice campaigns
  • Messaging users without required consent
  • Violating WhatsApp or telecommunications policies
  • Caller impersonation
  • Unauthorized call recording

Our Acceptable Use Policy contains additional requirements.

Aivry may restrict, suspend or terminate services where we reasonably believe these requirements have been violated.

6. AI Limitations

Aivry services use artificial intelligence and automated systems.

AI-generated outputs may occasionally be:

  • Incorrect
  • Incomplete
  • Outdated
  • Misleading
  • Contextually inappropriate
  • Biased
  • Inconsistent
  • Hallucinated

Artificial intelligence is probabilistic technology and cannot guarantee identical or perfectly accurate results in every interaction.

Customers must apply appropriate human judgment before relying on AI output for material decisions.

Aivry does not guarantee the factual correctness, completeness or suitability of every AI-generated response.

7. No Professional Advice

Unless expressly agreed otherwise in writing, Aivry does not provide:

  • Legal advice
  • Financial advice
  • Medical advice
  • Tax advice
  • Regulatory certification
  • Employment-law advice
  • Professional healthcare diagnosis

AI-generated content must not be treated as a substitute for qualified professional advice.

8. Halo Recruitment Disclaimer

Halo assists recruitment teams and hiring workflows.

Halo may analyse, classify, organize, score or recommend candidates based on available information and configured criteria.

Halo does not:

  • Make final employment decisions
  • Autonomously hire candidates
  • Autonomously reject candidates
  • Determine legal eligibility for employment
  • Guarantee unbiased results
  • Replace lawful human hiring judgment

Customers must maintain meaningful human oversight over recruitment decisions.

Customers remain responsible for compliance with:

  • Employment laws
  • Labour laws
  • Anti-discrimination requirements
  • Equal-opportunity obligations
  • Candidate privacy requirements
  • Internal hiring policies

AI-generated candidate scores or recommendations should not be treated as objective fact.

9. Milo Healthcare Disclaimer

Milo is designed to assist healthcare organizations with administrative communication and patient experience workflows.

Milo may assist with:

  • Appointments
  • Reminders
  • Scheduling
  • Patient communication
  • Follow-ups
  • Instructions
  • Administrative coordination
  • CRM updates

Milo is not a medical professional.

Unless specifically designed, validated and contractually approved for such use, Milo must not be relied upon to:

  • Diagnose medical conditions
  • Prescribe medication
  • Determine treatment
  • Replace a doctor or qualified healthcare professional
  • Provide emergency medical services
  • Make autonomous clinical decisions

Any health-related information generated or communicated through Milo must be appropriately reviewed where professional medical judgment is required.

Healthcare providers remain solely responsible for:

  • Medical decisions
  • Patient care
  • Clinical advice
  • Patient consent
  • Accuracy of medical information supplied to Milo
  • Patient privacy
  • Regulatory compliance
  • Appropriate human oversight

Milo must not be used as an emergency-response system.

Where immediate medical assistance is required, users should contact the relevant healthcare provider or emergency service.

10. Atithi Hospitality Disclaimer

Atithi assists hospitality businesses with guest communication and operational workflows.

Atithi may receive, classify, respond to, route or track guest requests.

AI-generated confirmations or responses do not independently guarantee that a requested physical service has been completed.

Hotels, resorts and other hospitality customers remain responsible for:

  • Reservation accuracy
  • Guest services
  • Room allocation
  • Pricing
  • Availability
  • Food and beverage delivery
  • Housekeeping
  • Maintenance
  • Safety
  • Physical service fulfilment
  • Staff actions
  • Guest complaints
  • Regulatory obligations

Where Atithi integrates with a PMS, booking engine, CRM, POS or other third-party platform, availability and operational information may depend on the accuracy and availability of those systems.

11. Customer Data Responsibility

Customers remain responsible for information they provide, upload, connect or authorize Aivry to process.

You represent that you have appropriate authority and lawful grounds to process such information.

This may include responsibility for:

  • Data collection rights
  • Privacy notices
  • Consent
  • Messaging permissions
  • Call-recording consent
  • Candidate information
  • Patient information
  • Guest information
  • Employee information
  • Customer information
  • CRM records
  • Uploaded documents
  • Connected databases

Aivry is not responsible for a customer’s unlawful collection or use of information.

12. Customer-Provided Knowledge

Aivry systems may generate responses using information supplied by customers.

This may include:

  • FAQs
  • Policies
  • Product information
  • Prices
  • Procedures
  • Knowledge bases
  • Documents
  • Websites
  • CRM information
  • Internal documentation

Customers are responsible for maintaining the accuracy and currency of this information.

If source information is incorrect, incomplete or outdated, AI-generated responses may also be incorrect, incomplete or outdated.

13. Messaging, WhatsApp and Voice Services

Where Aivry services communicate through WhatsApp, SMS, telephone, email or other communication platforms, customers remain responsible for:

  • Obtaining required consent
  • Maintaining lawful opt-ins
  • Providing required disclosures
  • Complying with anti-spam requirements
  • Complying with telecommunications regulations
  • Complying with platform policies
  • Complying with call-recording laws
  • Maintaining approved templates where required

Aivry may restrict messaging or calling activity that creates legal, security, reputational or platform-compliance risks.

14. Third-Party Services

Aivry relies on third-party infrastructure and technology providers.

Depending on the service, these may include providers of:

  • Artificial intelligence models
  • Cloud infrastructure
  • Hosting
  • Telecommunications
  • WhatsApp infrastructure
  • Speech recognition
  • Speech generation
  • Databases
  • Analytics
  • Payment processing
  • Email infrastructure
  • CRM systems
  • Business software integrations

Third-party systems may experience:

  • Downtime
  • API changes
  • Pricing changes
  • Rate limits
  • Policy changes
  • Feature changes
  • Service interruptions
  • Model behaviour changes

Aivry cannot guarantee uninterrupted operation of infrastructure controlled by third parties.

Where a third-party provider materially changes or discontinues a service, Aivry may modify the relevant implementation or substitute a reasonably suitable provider.

15. Integrations and Automation

Aivry may connect to third-party software and customer systems.

Customers acknowledge that automation creates operational risks, including:

  • Incorrect triggers
  • Duplicate actions
  • Failed API requests
  • Incorrect routing
  • Incorrect CRM updates
  • Incorrect messages
  • Integration downtime
  • Data synchronization errors
  • Third-party API failures

Customers should test and validate material workflows before production deployment.

High-impact workflows should maintain appropriate human review or safeguards.

16. Fees and Payment

Pricing may be based on:

  • Subscription plans
  • Setup fees
  • Implementation fees
  • Monthly retainers
  • Usage
  • AI tokens
  • Voice minutes
  • Messages
  • WhatsApp conversations
  • API usage
  • Integrations
  • Storage
  • Custom development
  • Additional services

The applicable commercial proposal, Order Form, quotation, Statement of Work or subscription plan will determine customer-specific pricing.

Unless stated otherwise:

  • Applicable taxes are additional.
  • Usage-based charges may vary according to actual consumption.
  • Third-party API or infrastructure charges may change.
  • Additional work outside agreed scope may be separately chargeable.
  • Payment obligations are not dependent on whether the customer fully utilizes purchased capacity.

Aivry may suspend services for overdue undisputed payments after reasonable notice.

17. Changes in Third-Party Costs

Certain Aivry services depend on third-party providers whose prices are outside Aivry’s control.

These may include:

  • AI model providers
  • Telecom providers
  • WhatsApp or Meta charges
  • Voice providers
  • Cloud infrastructure
  • SMS providers
  • Email providers
  • Payment gateways
  • Other API providers

If these providers materially change their pricing, Aivry may adjust corresponding usage charges upon reasonable notice.

18. Taxes

Prices are exclusive of applicable taxes unless expressly stated otherwise.

Customers are responsible for applicable:

  • GST
  • VAT
  • Withholding taxes
  • Duties
  • Levies
  • Similar statutory charges

as required by applicable law.

19. Subscription Changes and Cancellation

Subscription terms may vary according to the applicable commercial agreement.

Unless a different written agreement applies:

  • Customers may request cancellation by providing 30 days’ written notice.
  • Charges incurred before the effective cancellation date remain payable.
  • Usage-based charges incurred during the notice period remain payable.
  • Setup, implementation and custom-development fees already incurred are generally non-refundable.
  • Cancellation does not automatically require deletion of records that Aivry is legally or contractually required to retain.

Enterprise agreements may contain separate termination provisions.

20. Intellectual Property

Aivry retains all rights, title and interest in its technology and intellectual property, including:

  • Software
  • Source code
  • AI orchestration
  • System architecture
  • Prompts and prompt frameworks
  • Workflow frameworks
  • APIs
  • User-interface systems
  • Automation logic
  • Templates
  • Product designs
  • Documentation
  • Branding
  • Proprietary methodologies
  • Reusable libraries and components

Unless otherwise agreed in writing, providing services to a customer does not transfer ownership of Aivry’s underlying technology.

21. Customer Content

Customers retain ownership of their pre-existing content and business information.

Customers grant Aivry the rights reasonably necessary to:

  • Host
  • Process
  • Transform
  • Transmit
  • Index
  • Retrieve
  • Display
  • Integrate

customer-provided information solely as necessary to provide, secure and support the contracted services, subject to applicable agreements and privacy requirements.

Customers warrant that they have the necessary rights to provide such content.

22. Confidentiality

Where Aivry and a customer exchange confidential business or technical information, each party should take reasonable measures to protect such information.

Confidential information does not include information that:

  • Is publicly available without breach
  • Was lawfully known before disclosure
  • Was independently developed
  • Was lawfully obtained from another source
  • Must be disclosed by law

Separate confidentiality or non-disclosure agreements may apply to specific engagements.

23. Service Availability

Aivry aims to provide reliable services but does not guarantee uninterrupted availability unless a specific Service Level Agreement applies.

Services may be affected by:

  • Maintenance
  • Internet outages
  • Telecommunications failures
  • Cloud-provider failures
  • AI-provider failures
  • Third-party API downtime
  • Cybersecurity incidents
  • Force majeure
  • Government restrictions
  • Events outside Aivry’s reasonable control

Scheduled or emergency maintenance may temporarily affect service availability.

24. Modifications to Services

Aivry may modify services to:

  • Improve functionality
  • Improve security
  • Improve AI performance
  • Replace infrastructure
  • Respond to regulatory requirements
  • Address third-party platform changes
  • Remove obsolete functionality
  • Introduce new functionality

Material changes affecting contracted enterprise deliverables will be handled according to the applicable customer agreement.

25. Suspension and Termination

Aivry may suspend or terminate access where reasonably necessary due to:

  • Non-payment
  • Security risk
  • Illegal activity
  • Abuse
  • Platform-policy violations
  • Unauthorized access
  • Fraud
  • Serious breach of these Terms
  • Material risk to Aivry infrastructure or other users

Where reasonably practicable, Aivry will provide notice before suspension.

Immediate suspension may occur where necessary to prevent security incidents, illegal activity or significant harm.

26. Disclaimer of Warranties

To the maximum extent permitted by applicable law, Aivry services are provided on an “as available” basis.

Except where expressly agreed in writing, Aivry does not warrant that:

  • Services will be uninterrupted
  • AI outputs will always be accurate
  • Every integration will operate continuously
  • Every customer workflow will achieve a specific commercial result
  • AI-generated content will be error-free
  • Services will meet every customer-specific requirement
  • Third-party platforms will remain available

No AI system can guarantee completely error-free output.

27. Limitation of Liability

To the maximum extent permitted by applicable law, Aivry shall not be liable for indirect, incidental, special, punitive or consequential losses, including:

  • Loss of profit
  • Loss of revenue
  • Loss of opportunity
  • Loss of anticipated savings
  • Business interruption
  • Reputational loss
  • Loss caused by customer-supplied incorrect information
  • Loss resulting from third-party service failure
  • Loss resulting from reliance on unverified AI-generated output

Unless otherwise agreed in writing, Aivry’s aggregate liability arising from a particular service shall not exceed the fees actually paid by the customer to Aivry for that service during the six months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

28. Customer Indemnity

To the extent permitted by law, customers agree to indemnify and hold Aivry harmless against third-party claims arising from:

  • Unlawful customer use of Aivry
  • Customer-provided unlawful content
  • Customer violation of privacy laws
  • Unauthorized messaging
  • Unauthorized calling or recording
  • Intellectual-property infringement in customer-supplied material
  • Unlawful recruitment practices
  • Improper use of patient information
  • Improper use of guest information
  • Customer violation of these Terms

This does not apply to the extent a claim results directly from Aivry’s own unlawful conduct.

29. Privacy and Data Protection

Use of Aivry services is also governed by our Privacy Policy.

Customers processing personal information through Aivry must comply with applicable privacy and data-protection requirements.

Where necessary, additional Data Processing Agreements or enterprise security terms may apply.

30. Security

Customers must not attempt to:

  • Circumvent authentication
  • Access unauthorized information
  • Probe infrastructure without authorization
  • Extract system prompts or proprietary configuration
  • Introduce malicious software
  • Exploit vulnerabilities
  • Interfere with service availability

Suspected vulnerabilities should be reported responsibly to Aivry rather than exploited.

31. Force Majeure

Aivry shall not be responsible for delays or failures caused by circumstances outside its reasonable control, including:

  • Natural disasters
  • War
  • Civil disturbance
  • Government action
  • Internet outages
  • Telecommunications failures
  • Cloud-provider outages
  • Third-party platform failures
  • Labour disruption
  • Cyber incidents affecting external infrastructure
  • Changes imposed by technology providers

32. Governing Law

These Terms are governed by the laws of India.

Unless otherwise agreed in writing, disputes arising from these Terms shall be subject to the jurisdiction of the competent courts in Hyderabad/Secunderabad, Telangana, India.

Enterprise agreements may specify separate dispute-resolution mechanisms.

33. Relationship Between Policies

These Terms should be read together with Aivry’s:

  • Privacy Policy
  • Cookie Policy
  • Acceptable Use Policy
  • Responsible AI Policy
  • Halo AI Recruitment Fair Use Addendum
  • Any applicable Data Processing Agreement
  • Any applicable commercial agreement or Statement of Work

Where a separately executed commercial agreement expressly conflicts with these general Terms, the separately executed agreement will prevail for that customer to the extent of the conflict.

34. Changes to These Terms

Aivry may update these Terms periodically to reflect:

  • Product changes
  • New services
  • Legal requirements
  • Regulatory developments
  • Technology changes
  • Security requirements
  • Changes to third-party infrastructure

The latest version will be published on the Aivry website with an updated “Last Updated” date.

Material changes may be communicated separately where appropriate.

Continued use of the services after updated Terms become effective constitutes acceptance of those Terms to the extent permitted by applicable law.
